Contract for Sale and Delivery of Doors and Frames
1. Parties
This Agreement ("Contract") is entered between:
Seller: Taldoor INC, a company organized and existing under the laws of the State of Florida, with its principal place of business at 6001 Park Of Commerce Blvd, Suite 2, Boca Raton, FL 33487, and holding all requisite Florida licenses.
2. Order Confirmation & Buyer Acknowledgment
By signing this Contract, Buyer acknowledges that they have thoroughly reviewed and approved the order confirmation, including, but not limited to, the number, sizes, specifications, and dimensions of the doors and frames. Any dissatisfaction with delivered goods that align with the confirmed order shall be deemed a result of Buyer's failure to review the order confirmation. Seller bears no responsibility for corrections or replacements under such circumstances.
3. Purchase Price & Payment Terms
Pricing, taxes, deposits, balances, and payment terms applicable to the specific order will be stated on the customer's order confirmation, invoice, proposal, or other order document incorporated into this Contract.
Deposit: Unless otherwise stated in the applicable order document, Buyer shall pay the required deposit upon execution of the order. Payment of the deposit constitutes formal authorization for Seller to commence production.
Balance: The remaining balance shall be paid in accordance with the applicable order document and, unless otherwise stated there, in full before delivery.
4. Custom Fabrication and Change Order Policy ("Active Production Phase")
Buyer expressly agrees that upon receipt of the required deposit, the order enters the "Active Production Phase" and is considered final and binding. Any subsequent request by Buyer to modify, pause, or cancel the order after this stage constitutes a "Change Order" and may incur additional fees. Buyer shall be liable for the full cost of labor, specialized engineering, and raw materials already committed to the initial specifications, in addition to the pricing of newly requested modifications. Seller shall have sole discretion to determine the final cost of such changes, and production will only resume once Buyer has approved and paid the additional fees. All custom-processed goods are non-refundable and final.
5. Delivery Timeframe & Seller Responsibility
Delivery estimates will be stated on the applicable order confirmation or other order document. All delivery dates are estimates only and are not guaranteed. Seller shall not be held responsible for delays arising from circumstances beyond Seller's control, including but not limited to changes requested during manufacturing. Such delays may result in additional charges.
6. Delivery, Acceptance, and Transfer of Risk
Upon delivery of the goods to Buyer's designated location, all risk of loss, theft, or damage shall transfer immediately to Buyer. Buyer is required to inspect the goods upon arrival. Any claims for visible damage or discrepancies must be noted at the time of delivery. Once the goods are in Buyer's possession or stored at the project site, Seller shall not be held liable for subsequent damage, including but not limited to environmental factors, improper handling by other trades, or site-related accidents. Buyer is solely responsible for providing a secure and climate-controlled environment for the goods after delivery.
7. Installation Requirement
The warranties below are valid only if the doors and frames are installed by qualified professionals in accordance with manufacturer and industry standards. Any defects or damages arising from improper installation or misuse will void the warranty.
8. Warranty
Doors & Frames: Two (2) years coverage against manufacturing defects.
Hardware: One (1) year coverage against manufacturing defects.
This warranty excludes normal wear and tear, misuse, damage during transport, improper installation, neglect, alterations, and damages attributable to factors beyond Seller's control.
Remedies: If Buyer notifies Seller in writing of a verified manufacturing defect during the applicable warranty period, Seller will, at its discretion, repair or replace the defective part. No monetary refunds or credits will be provided.
9. Liability Limitations
In no event shall Seller be liable for incidental, indirect, special, punitive, or consequential damages, whether or not foreseeable, even if Seller has been advised of their possibility. Seller's total liability shall not exceed the purchase price of the specific affected goods. Buyer expressly agrees that replacement under the warranty provisions is the exclusive remedy for covered defects.
10. Entire Agreement & Amendments
This Contract, including the order confirmation and any exhibits attached, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior understandings. Any amendments must be made in writing and signed by both parties.
11. Severability
If any provision of this Contract is held invalid or unenforceable, the remainder of the Contract shall remain in full force and effect.
